Acceptance of Terms

By accessing or using Clona (“the Platform”), you agree to be bound by these Terms of Usage (“Terms”). If you do not agree to these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and Clona.

We reserve the right to modify these Terms at any time. Continued use of the Platform following any changes constitutes your acceptance of the revised Terms.

Description of Service

Clona is an AI-powered voice dubbing studio that provides the following services: voice cloning from audio samples, automated video dubbing into 30+ languages, voice actor library management, and project-based workflow tools. The Platform uses artificial intelligence and machine learning to generate synthetic voice audio based on user-provided samples.

Account Registration

To use certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You must be at least 16 years of age to create an account and use the Platform. By creating an account, you represent that you meet this age requirement.

Acceptable Use of Voice Cloning

Voice cloning technology carries significant ethical responsibilities. By using our voice cloning features, you agree to the following:

  • You will only clone voices for which you have obtained explicit, informed consent from the voice owner
  • You will not use cloned voices to impersonate individuals for fraudulent, deceptive, or malicious purposes
  • You will not create cloned voice content that spreads misinformation, disinformation, or harmful propaganda
  • You will not use the Platform to generate content that harasses, threatens, defames, or intimidates any person
  • You will not clone the voices of minors under any circumstances
  • You will clearly disclose when AI-generated or cloned voices are used in published or distributed content where required by applicable law

Violation of these voice cloning policies may result in immediate account termination and potential legal action.

Intellectual Property & Ownership

Your Content

You retain ownership of all original content you upload to the Platform, including audio samples, video files, and any other media. By uploading content, you grant Clona a limited, non-exclusive license to process, transform, and store your content solely for the purpose of providing our services to you.

Generated Content

Output generated by the Platform (including dubbed audio tracks and cloned voice models) is owned by you, subject to applicable laws and the rights of any third parties whose voices or content were used as inputs. You are solely responsible for ensuring that your use of generated content does not infringe upon the rights of others.

Platform IP

The Platform, including its design, underlying technology, AI models, algorithms, software, branding, and documentation, is and remains the property of Clona. Nothing in these Terms grants you any right, title, or interest in the Platform itself beyond the limited right to use it as a service.

Prohibited Activities

In addition to the voice cloning restrictions above, you agree not to:

  • Reverse engineer, decompile, or attempt to extract the source code or AI models of the Platform
  • Use the Platform to produce content that violates any applicable law or regulation
  • Circumvent or attempt to circumvent any usage limits, access controls, or security measures
  • Resell, sublicense, or provide access to the Platform to third parties without authorization
  • Use automated scripts, bots, or scrapers to access or interact with the Platform
  • Upload content containing malware, viruses, or other harmful code
  • Interfere with or disrupt the Platform's infrastructure or other users' access

Service Availability & Modifications

We strive to maintain high availability of the Platform but do not guarantee uninterrupted or error-free service. We may modify, suspend, or discontinue any part of the Platform at any time with or without notice. We are not liable for any downtime, service interruptions, or modifications to the Platform.

Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI-GENERATED VOICE OUTPUT WILL BE FREE FROM ERRORS, ARTIFACTS, OR IMPERFECTIONS, OR THAT IT WILL MEET YOUR SPECIFIC REQUIREMENTS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLONA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Account Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice. Grounds for termination include but are not limited to: violation of these Terms, violation of our voice cloning acceptable use policies, suspected fraudulent or illegal activity, or non-payment of fees.

Upon termination, your right to use the Platform ceases immediately. We may delete your account data, voice models, and project files within 30 days of termination, except where retention is required by law. You may request an export of your data prior to termination by contacting our support team.

Indemnification

You agree to indemnify, defend, and hold harmless Clona and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Platform, your violation of these Terms, or your violation of any third party's rights, including voice owners' rights and intellectual property rights.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Clona is incorporated, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration body, unless otherwise required by law.
